Conditions of Sale

These are the conditions that apply to every purchase made through 1AB.

1. Introduction and Defined Terms

These Conditions of Sale govern all purchases of Property facilitated by 1AB Limited (registered in the Isle of Man). In these Conditions, "we", "us" and "our" refer to 1AB Limited, and "you" and "your" refer to the individual or entity purchasing the Property.

1AB acts as agent for the Seller. We are not the owner of the Property and we do not ourselves sell it to you in a principal capacity, except where expressly stated otherwise in writing. The contract of sale is therefore made directly between you and the Seller; our role is to facilitate that transaction.

If there is more than one buyer, all obligations under these Conditions are assumed jointly and severally. If you are an agent acting for a principal, both you and your principal are bound by these Conditions and jointly and severally assume all obligations contained in them.

We may update these Conditions from time to time. The version in force at the date of your purchase is the version that applies to that purchase.

The following defined terms are used throughout:

  • Property: the item or items listed on your invoice.
  • Purchase Price: the price shown on your invoice, together with any applicable taxes.
  • Seller: the person or entity on whose behalf we are acting as agent in relation to the Property.
  • 1AB: 1AB Limited, Aspen House, Malew Street, Castletown, Isle of Man IM9 1AB.

2. Our Role as Consignment House

1AB is a consignment house. Sellers place items with us and we offer them for sale on those sellers' behalf, earning a commission on completed sales. We do not purchase items speculatively for resale and we are not an auction house.

As agent, we take reasonable steps to understand the history and provenance of each object we accept. We ask sellers about an item's origin, ownership history, and any relevant documentation, and we take copies of identification. We exercise genuine care and judgment in what we choose to offer. However, we are not experts in every field, and we cannot independently verify every claim made to us. Our descriptions and any verbal representations we make represent our honest assessment based on the information available to us at the time — they are not warranties or guarantees.

Because the contract of sale is between you and the Seller rather than between you and us, any claim relating to the Property should, in the first instance, be directed to the Seller. We will assist in facilitating that process wherever we reasonably can.

3. Condition and Description of Property

All Property is sold as found and in the condition in which it exists at the time of sale. We make no representation or warranty — and the Seller makes no representation or warranty through us — as to condition, completeness, size, quality, rarity, value, provenance, exhibition history, restoration work, exportability, or any other matter, except where expressly stated in writing.

Descriptions provided by us — whether written, verbal, or contained in any listing — represent our good-faith opinion and the information provided to us by the Seller. They do not constitute a guarantee of any kind. Prospective buyers are strongly encouraged to examine Property in person and, where appropriate, to seek independent expert advice before purchase.

Age-related wear, minor repairs, and the condition normal for objects of their period and type are to be expected and are not grounds for complaint.

4. Authenticity and Provenance

We ask sellers the right questions. We record the answers and retain copies of identification. We decline consignments that raise concerns we cannot resolve. What we cannot do is guarantee the authenticity or provenance of every object, and we do not do so.

Where we form a view that an object is genuine, we may say so — but such a statement represents our opinion, informed by available evidence, and not a warranty. Where we have doubts or where an object's history is incomplete, we will say so honestly.

If, following purchase, you have reason to believe that an object is a deliberate forgery — that is, an imitation created with intent to deceive as to authorship, origin, date or cultural source — you should notify us in writing as soon as practicable and in any event within three months of discovering the grounds for your concern. We will consider the matter and, where we are able, assist in facilitating a resolution between you and the Seller. Any such resolution is at the discretion of the parties and we make no commitment to any particular outcome.

We will not consider a claim based solely on damage, restoration, later modifications, or the normal effects of age.

5. Buyer Representations and Warranties

By purchasing Property through us, you represent and warrant that at all relevant times:

  1. your purchase does not violate any applicable law, regulation or code;
  2. your purchase will not facilitate any form of tax evasion or tax crime;
  3. neither you nor, if you are acting as agent, your principal, has knowledge or reason to suspect that the funds used to purchase the Property are connected with criminal activity;
  4. neither you nor your principal is subject to economic sanctions, trade embargoes or other trade restrictions administered by the United Kingdom, European Union, United Nations Security Council, or any other applicable authority;
  5. neither you nor your principal is resident in, organised in, or acting on behalf of a person resident in any jurisdiction subject to comprehensive sanctions;
  6. you have complied with all applicable anti-money laundering, anti-terrorism, and anti-bribery laws for at least the past five years;
  7. the funds used to purchase the Property do not derive, directly or indirectly, from any sanctioned person or jurisdiction;
  8. if you are acting as agent, you have conducted appropriate due diligence on your principal and the source of funds, and your purchase will not cause us or the Seller to violate any applicable law; and
  9. you have full legal capacity to enter into and perform these Conditions.

We may rescind the sale in our sole discretion if we reasonably conclude that any of the above representations is or has become inaccurate, or if the transaction has subjected or might subject us or the Seller to legal liability.

6. Know Your Client and Due Diligence

We are required by law to verify the identity of the parties to transactions above certain thresholds and in other circumstances. You agree to provide us with such identity documents and information as we may reasonably request, including information about the source of funds for your purchase. If we are not satisfied with the results of our due diligence, we may decline to proceed with or may rescind the sale without liability to you.

7. Payment

Title to the Property passes to you only on our receipt of the Purchase Price in full and in cleared funds.

The Purchase Price includes any applicable Isle of Man or UK VAT or other indirect taxes, which we will collect as required by law.

If payment is not made in accordance with the agreed terms, we reserve the right to cancel the sale, resell the Property on the Seller's behalf, and hold you liable for any shortfall together with reasonable costs incurred.

8. Collection and Storage

You should arrange collection of purchased Property within 14 days of paying the Purchase Price in full, unless otherwise agreed in writing. Thereafter, we may store the Property at your cost and risk. Storage charges will be advised on request.

Risk in the Property passes to you on the earlier of collection or the 15th day after payment in full. Until risk passes, we maintain reasonable care over the Property but our liability for loss or damage is limited as set out in Condition 9 below.

9. Limitation of Liability

Because the contract of sale is between you and the Seller, our liability to you in connection with any purchase is limited. Specifically:

  1. we are not liable for any loss or damage arising from the condition, authenticity, provenance or description of the Property, save in the case of our own fraud or wilful misrepresentation;
  2. we are not liable for any indirect, consequential, or economic loss of any kind;
  3. our aggregate liability to you in respect of any claim arising in connection with a purchase will not exceed the Purchase Price actually paid by you for the Property in question, save in the case of our wilful misconduct or fraud, or in the case of death or personal injury caused by our negligence;
  4. we are not liable for loss or damage caused by circumstances beyond our reasonable control, including but not limited to fire, flood, theft, acts of terrorism, or acts of God.

Nothing in these Conditions excludes or restricts any liability that cannot be excluded or restricted by Isle of Man law.

10. Indemnity

You agree to indemnify and hold harmless 1AB Limited, its officers and employees from and against any claims, liabilities, costs and expenses (including reasonable legal fees) arising from any breach of your representations, warranties or obligations under these Conditions.

11. Confidentiality and Data Protection

We treat the details of each transaction with discretion. Neither party will disclose the terms of a particular sale without the other's written consent, except as required by law or to professional advisers bound by equivalent confidentiality obligations.

We process personal data in accordance with our Privacy Policy, which is available at 1ab.im/legal/privacy. By transacting with us, you consent to that processing.

12. Miscellaneous

  1. We may only sell Property with the Seller's authority. Our obligation to complete a sale is conditional on that authority remaining in place at the time payment falls due.
  2. These Conditions, together with the invoice and any written agreement between us and you relating to the specific Property, constitute the entire agreement between us in relation to your purchase. They supersede all prior representations and understandings.
  3. If any provision of these Conditions is found to be unenforceable, the remaining provisions continue in full force.
  4. No amendment to these Conditions is valid unless agreed in writing by both parties.
  5. You may not assign any right or obligation under these Conditions without our prior written consent.
  6. These Conditions bind your estate and successors.
  7. We have not provided legal advice to you in connection with your purchase. You have had the opportunity to take independent legal advice before purchasing.

13. Governing Law and Jurisdiction

These Conditions are governed by and construed in accordance with the laws of the Isle of Man. Any dispute arising from or in connection with a purchase facilitated by us shall be subject to the exclusive jurisdiction of the courts of the Isle of Man.
